What is the difference between an electronic and a digital signature?

An electronic signature is any electronic way of agreeing to a document, such as a typed or drawn signature backed by an audit trail. A digital signature is one specific kind: the document is signed cryptographically with a certificate issued to the signer, so any later change breaks the signature. Most business agreements need only the first; some laws and countries require the second.

What is a digital signature?

A digital signature uses public-key cryptography. The signer holds a private key linked to a certificate issued by a certificate authority; signing creates a value that only that key could have produced, embedded in the PDF. Anyone can check it with the public key, and editing the document afterwards makes the check fail.

Because the certificate is issued after the signer's identity is checked, a digital signature says who signed, not just that someone with access to an email signed.

How do the two compare?

What proves it

Electronic: the audit trail and consent record. Digital: a certificate and a cryptographic check.

Signer identity

Electronic: usually the email address the link went to. Digital: an identity checked before the certificate was issued.

Detecting changes

Electronic: depends on the provider's records. Digital: built into the signed file.

Effort for the signer

Electronic: open a link and sign. Digital: a certificate, token or identity service first.

When does the law ask for a digital signature?

In the US, the ESIGN Act and UETA don't require any particular technology, so a simple electronic signature works for most business agreements. In the EU, eIDAS recognises simple, advanced and qualified electronic signatures; only a qualified signature, made with a certificate from a qualified trust service provider, carries the same effect as a handwritten one in every member state, and some national rules ask for advanced or qualified signatures for certain documents.

India's IT Act 2000 gives legal recognition to electronic signatures made by techniques listed in the Act, which today are digital signature certificates and Aadhaar-based eSign. Agreements made electronically can still be valid contracts under the Act, but check with a lawyer where a statute or a counterparty expects a certificate-based signature.

Which one does Flaxxa Sign provide?

Flaxxa Sign provides simple electronic signatures with an audit trail and a signing certificate. It doesn't sign PDFs with a digital certificate, and it doesn't offer advanced or qualified signatures, Aadhaar eSign or digital signature certificates. For documents that need those, use a provider that issues them.

Electronic vs digital signature: common questions

Frequently asked questions

Not in general. Both are legally recognised for most agreements in the US and the EU. A digital signature gives stronger proof of identity and integrity, and some laws require one for specific documents.
